Welcome to Nuvyx, a platform that enables users to interact with advanced language models and AI technologies. These Terms of Use (“Terms”) govern your access to and use of Nuvyx, including our website, mobile applications, APIs, and other services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum legal age in your country) to use the Service. If you are under the age of majority in your jurisdiction, you may only use Nuvyx under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

  • Use the Service to generate or disseminate false or misleading information;

  • Reverse-engineer, decompile, or attempt to extract the source code;

  • Use the Service to develop competing products;

  • Upload or transmit any viruses or malicious code;

4. AI Output and User Content

Nuvyx may generate content using AI models. By using the Service:

  • You acknowledge that AI-generated content may be inaccurate, biased, offensive, or inappropriate.

  • You are solely responsible for how you use the output.

  • You retain any rights you have in the content you input and generate, but grant Nuvyx a license to use that content to operate and improve the Service.

We reserve the right to monitor, review, and remove content at our discretion.

5. Subscription and Fees

Some features of Nuvyx may require a paid subscription. By purchasing a subscription:

  • You agree to pay all applicable fees and taxes;

  • You authorize us to charge your payment method on a recurring basis;

  • You understand that all payments are non-refundable unless otherwise specified.

We reserve the right to change pricing and subscription features with notice.

6. Intellectual Property

All intellectual property rights in the Service, including but not limited to software, design, logos, and AI models, are owned by Nuvyx or its licensors. You may not reproduce, modify, or distribute any part of the Service without prior written permission.

7. Third-Party Services

The Service may include integrations with third-party services such as Amazon Bedrock, Whisper, or others. Nuvyx is not responsible for the content, functionality, or data handling of these third-party services. Your use of such services is subject to their own terms and privacy policies.

8. Termination

We may suspend or terminate your access to the Service at any time if:

  • You breach these Terms;

  • You engage in conduct that could harm Nuvyx or its users;

  • We are required to do so by law or regulatory requirements.

Upon termination, your right to use the Service will immediately cease, and any outstanding obligations remain enforceable.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NU VYX AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Nuvyx, its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising from:

  • Your use of the Service;

  • Your violation of these Terms;

  • Your violation of any rights of a third party.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in the United States.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you by updating the “Effective Date” above or by other reasonable means. Your continued use of the Service after changes become effective constitutes your acceptance.
